These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Service") provided by Edge to Trade LLC ("Edge to Trade," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. Your continued use of the Service constitutes ongoing acceptance of these Terms and any updates we may make.

2. Description of Service

Edge to Trade provides a stock market data and research platform that includes real-time and historical market data, stock scanning tools, float data, SEC filing information, and related analytics features. The Service is designed as a data and research tool for informational and educational purposes only.

Edge to Trade does not provide financial advice, investment recommendations, or trading signals. The Service is not a registered broker-dealer, investment adviser, or financial planner. All trading and investment decisions are made solely by you at your own risk. Please review our Disclaimer for additional information.

3. User Registration and Accounts

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Keep your login credentials confidential and not share them with any third party.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately at support@edgetotrade.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Subscriptions and Payments

4.1 Subscription Plans

Edge to Trade offers subscription-based access to the Service. By selecting a subscription plan, you agree to pay the applicable fees as described at the time of purchase. All fees are stated and charged in United States Dollars (USD).

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period at the then-current subscription rate.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@edgetotrade.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

4.4 Refund Policy

All subscription fees are non-refundable, except as required by applicable law. No refunds or credits will be issued for partial billing periods, downgrades, or unused features. We reserve the right to offer refunds or credits at our sole discretion on a case-by-case basis.

4.5 Price Changes

We reserve the right to change our subscription prices at any time. If we change pricing, we will provide at least 30 days' advance notice before the new price takes effect. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

4.6 Payment Processing

All payments are processed securely by Stripe, Inc. By providing your payment information, you agree to Stripe's terms of service and privacy policy. We do not store your full credit card information on our servers.

5. Intellectual Property

5.1 Our Ownership

The Service, including all content, features, functionality, software, text, graphics, logos, icons, images, data compilations, and the design, selection, and arrangement thereof, is the exclusive property of Edge to Trade or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. This license does not include any right to resell or commercially exploit the Service or its content, collect or use any data listings or descriptions, make derivative uses of the Service, or download or copy account information for the benefit of a third party.

5.3 Trademarks

"Edge to Trade," the Edge to Trade logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Edge to Trade LLC. You may not use such marks without our prior written permission.

6. Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Scrape, crawl, spider, or use any automated means to access, collect, or extract data from the Service without our express written permission.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or structure of the Service.
  • Copy, reproduce, distribute, republish, download, display, transmit, or sell any data, content, or materials from the Service for competitive or commercial purposes.
  • Use the Service to build or support a competing product or service.
  • Share, resell, or redistribute your account access or subscription to any third party.
  • Interfere with or disrupt the integrity or performance of the Service, its servers, or connected networks.
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or any systems or networks connected to the Service.
  • Use the Service to transmit viruses, malware, or any other harmful code.
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service.

7. Third-Party Content and Data

The Service may display, include, or make available data, information, and content from third-party sources, including SEC filings, market data providers, and financial data aggregators. We do not guarantee the accuracy, completeness, timeliness, or reliability of any third-party content. All third-party content is provided "as is" without any warranties.

The inclusion of third-party content on the Service does not imply our endorsement or affiliation with the content provider. You are solely responsible for evaluating and verifying any information obtained through the Service before making any trading or investment decisions.

8. Service Availability

We strive to maintain the availability and reliability of the Service, but we do not guarantee uninterrupted, timely, secure, or error-free access. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, data inaccuracies, or other loss or damage resulting from such issues.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

EDGE TO TRADE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY DATA OR INFORMATION PROVIDED THROUGH THE SERVICE.

THE SERVICE IS NOT FINANCIAL ADVICE. EDGE TO TRADE IS NOT A REGISTERED BROKER-DEALER, INVESTMENT ADVISER, OR FINANCIAL PLANNER. ANY DATA, ANALYTICS, OR SCANNING RESULTS PROVIDED ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS INVESTMENT ADVICE OR A RECOMMENDATION TO BUY, SELL, OR HOLD ANY SECURITY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDGE TO TRADE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNTS YOU HAVE PAID TO EDGE TO TRADE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

WITHOUT LIMITING THE FOREGOING, EDGE TO TRADE SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL DAMAGES INCURRED AS A RESULT OF USING OR RELYING ON DATA, INFORMATION, OR TOOLS PROVIDED THROUGH THE SERVICE. ALL TRADING AND INVESTMENT DECISIONS ARE MADE SOLELY BY YOU AT YOUR OWN RISK.

11. Indemnification

You agree to indemnify, defend, and hold harmless Edge to Trade, its officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any trading or investment decisions you make based on information obtained through the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Electronic Communications

By creating an account or using the Service, you consent to receive electronic communications from us, including emails, push notifications, and in-app messages. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through a notice on the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and Cookie Policy, constitute the entire agreement between you and Edge to Trade regarding your use of the Service and supersede all prior agreements, representations, and understandings.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Edge to Trade.
